# Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ryvet platform, website, and related services (collectively, the "Service") provided by Ryvet, Inc. ("Ryvet," "we," "us," or "our"). Please read these Terms carefully before using the Service.

## 1. Acceptance of Terms

By creating an account or using the Service, you agree to be bound by these Terms and our [Privacy Policy](https://ryvet.ai/privacy?hsLang=en). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

## 2. Account Registration

To use the Service, you must create an account. You agree to:

- Provide accurate, current, and complete information during registration
- Maintain the security of your password and account credentials
- Promptly update your account information if it changes
- Accept responsibility for all activity that occurs under your account
- Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

## 3. Permitted Use

The Service is designed for commercial sign companies and related businesses to create estimates, manage pricing, and generate proposals. You agree to use the Service only for its intended purpose and in compliance with all applicable laws.

You may not:

- Use the Service for any illegal or unauthorized purpose
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service
- Interfere with or disrupt the Service or servers connected to it
- Scrape, crawl, or use automated means to access the Service without permission
- Share your account credentials with unauthorized third parties
- Use the Service to compete directly with Ryvet or build a competing product

## 4. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Ryvet, Inc. and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during the term of your subscription.

Ryvet retains all rights, title, and interest in the Service. Nothing in these Terms grants you ownership of the platform, its technology, or any intellectual property belonging to Ryvet.

## 5. Your Data and Content

**You own your data.** All content you upload, create, or store using the Service remains your property, including:

- Estimates, proposals, and project documents
- Cost libraries, pricing data, and material lists
- Uploaded plans, photos, and specifications
- Company information and client records

You grant Ryvet a limited license to host, store, and process your content solely for the purpose of providing the Service to you. We will not sell, share, or use your proprietary data for any purpose outside of delivering the Service.

**Ryvet does not use your data to train AI models.** Your pricing data, cost libraries, and estimates are never used to train or improve models for other customers. Your competitive data stays yours.

## 6. Subscription and Payment

The Service is offered on a subscription basis. By subscribing, you agree to:

- Pay all fees associated with your selected plan
- Provide valid payment information and authorize recurring charges
- Accept that fees are billed in advance on a monthly or annual basis

We may change our pricing with at least 30 days' notice before the start of your next billing cycle. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

## 7. Termination

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

- Your access to the Service will continue until the end of your current billing period
- You may export your data before your access ends
- We will retain your data for 30 days after termination, after which it may be permanently deleted

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay subscription fees, or engage in conduct that we determine is harmful to the Service or other users.

## 8. Limitation of Liability

To the maximum extent permitted by law, Ryvet shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

The Service is provided "as is" and "as available." While we strive for accuracy, estimates generated by the platform are tools to assist your decision-making and should be reviewed by qualified personnel before use. Ryvet does not guarantee the accuracy of any AI-generated content.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to Ryvet in the twelve (12) months preceding the claim.

## 9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Montana, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Montana.

## 10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
